2. Intellectual Property Rights

2.1 yieldWerx Property: All content, software, semiconductor yield analytics models, data visualization algorithms, yield enhancement workflows, documentation, white papers, graphics, trademarks, service marks, logos, and trade names displayed on or embedded within the Site (collectively, “yieldWerx Content”) are the exclusive property of yieldWerx or its licensors and are protected by United States and international copyright, trademark, patent, and trade secret laws. 

2.2 Limited Access License: Subject to your strict compliance with these Terms, yieldWerx grants you a limited, non-exclusive, non-transferable, revocable license to access and view yieldWerx Content solely for your internal, non-commercial, informational evaluation purposes. 

2.3 Restrictions: Except as expressly permitted in writing by yieldWerx, you shall not: 

Copy, reproduce, modify, distribute, display, perform, publish, or create derivative works from any yieldWerx Content. Reverse engineer, decompile, disassemble, or attempt to extract the source code or underlying architecture of any yieldWerx software or platform. Remove, alter, or obscure any copyright, trademark, or proprietary rights notices on the Site or associated materials. 

3. Account Registration & Security

System Interference: Conduct, request, or facilitate any load testing, stress testing, penetration testing, vulnerability scanning, or denial-of-service (DoS) attacks on the Site or related cloud infrastructure without prior explicit written authorization from yieldWerx. 

Automated Scraping: Use any robot, spider, crawler, scraper, data mining tool, or automated process to index, gather, extract, or monitor any portion of the Site or yieldWerx Content. 

Malicious Code: Upload, post, or transmit any software viruses, Trojan horses, worms, logic bombs, or other harmful materials designed to disrupt, damage, or limit the functionality of any software or hardware. 

Unauthorized Data Ingestion: Upload, input, or transmit any personally identifiable information (PII), protected health information (PHI), or confidential third-party data into public or evaluation portals on yieldWerx.com. 

Brand & Reputation: Engage in any activity that misrepresents your affiliation with yieldWerx or damages the name, reputation, or goodwill of yieldWerx or its partners. 

Export Controls: You acknowledge that the software, technical data, and analytical tools available on or through the Site may be subject to United States export control laws and regulations (including the U.S. Export Administration Regulations). You agree not to access, download, export, or re-export any yieldWerx Content or software in violation of U.S. embargoes, sanctions, or export laws. 

5. Trial & Evaluation Access

If yieldWerx provides you with access to a trial, sandbox, or evaluation version of our semiconductor yield management platform (“Evaluation Services”): 

Evaluation Purpose Only: You may use the Evaluation Services solely for testing and evaluating the platform’s suitability for your internal business requirements. 

No SLAs or Guarantees: Evaluation Services are provided strictly “AS-IS” without technical support, uptime guarantees, or maintenance obligations. 

Right to Terminate: yieldWerx reserves the right to suspend, limit, or terminate Evaluation Services at any time, in its sole discretion, without notice or liability. 

6. Confidentiality & Feedback

6.1 Confidentiality: Non-public technical information, benchmark results, software documentation, and product roadmaps made available through the Site are confidential to yieldWerx. You agree not to disclose such information to any third party.

10. EnterpriseCustomer Data & Data Processing Addendum (DPA) 

While this Privacy Policy primarily addresses information collected from visitors to yieldWerx.com and our public marketing platforms, yieldWerx also acts as a Data Processor for enterprise clients who subscribe to our semiconductor yield management platform. 

  • Customer Ownership: All client data uploaded into yieldWerx software remains the exclusive property of our enterprise customers. yieldWerx processes this data solely to deliver the analytical services contracted under our Master Services Agreement (MSA). 
  • Data Processing Addendum (DPA): For customers processing personal data or telemetry subject to global privacy regulations (such as GDPR or CCPA/CPRA), yieldWerx incorporates a comprehensive Data Processing Addendum into our standard enterprise software contracts.

11. Data Retention & Lifecycle Management

yieldWerx retains personal data and information collected through our public website only for as long as necessary to fulfill the operational, legal, or commercial purposes outlined in this policy: 

Marketing & Communication Data: Contact information submitted via forms (e.g., demo requests, whitepaper downloads) is retained until you unsubscribe or request deletion. 

System & Audit Logs: Server logs, IP addresses, and website security records are retained for security audit purposes for up to 12 months, after which they are automatically anonymized or purged. 

Enterprise Customer Production Telemetry: Parametric test logs, STDF data, and chip analytics uploaded to our platform are stored, archived, or deleted in strict compliance with the custom retention schedules defined in each client’s Master Services Agreement (MSA) and Data Processing Addendum (DPA). 

12. Security by design

We ensure complete data protection through industry-standard encryption of data in transit (using TLS, SFTP, and site-to-site VPN) and at rest. Security across our platform is strictly managed using role-based access control (RBAC) and multi-factor authentication (MFA), backed by continuous security monitoring, patch management, and vulnerability management. Additionally, physical security controls are maintained across all yieldWerx facilities. 

13. Incident response & breach notification

We maintain a formal incident-response program with defined severity classifications and escalation timelines. If a security incident affecting customer data is confirmed, we commit to notifying the customer’s designated contact within 24 hours of confirmation and assigning a single named incident liaison for the duration of the event. If the investigation is ongoing, we deliver an interim update within 48 hours, followed by a full incident report detailing the root cause and remediation steps within 72 hours. 

We welcome good-faith security research. If you believe you’ve found a vulnerability in a yieldWerx product or service, please report it to trust@yieldwerx.com. We investigate every report and will not pursue legal action against researchers acting in good faith. 

14. CCPA Service Provider Commitment:

To the extent yieldWerx processes personal information subject to the California Consumer Privacy Act (CCPA/CPRA) on behalf of Customer, yieldWerx acts solely as a Service Provider. yieldWerx shall not: (a) sell or share such personal information; (b) retain, use, or disclose personal information for any purpose other than providing the contracted services; or (c) combine personal information received from or on behalf of Customer with personal data received from other sources, except as permitted under the CCPA.

We reserve the right to update this Privacy Policy to reflect changes in our legal obligations, privacy practices, or operational services.
